Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "Advisor," "Organization," "you," or "your") and Advisory Navigator LLC ("Advisory Navigator," "Company," "we," "our," or "us") governing your access to and use of the Advisory Navigator website, applications, software, platform, content, and related services (collectively, the "Platform").

By accessing or using the Platform, creating an account, purchasing a subscription, purchasing tokens, posting opportunities, applying for opportunities, communicating with users, or otherwise using the Platform, you agree to be bound by these Terms.

If you do not agree to these Terms, you may not use the Platform.

1. DESCRIPTION OF THE PLATFORM

Advisory Navigator is a technology-enabled marketplace that connects:

• Advisors
• Board candidates
• Consultants
• Subject matter experts
• Fractional executives
• Mentors
• Organizations
• Businesses
• Nonprofits
• Associations

The Platform enables users to:

• Create professional profiles
• Search for opportunities
• Post opportunities
• Connect with advisors and organizations
• Communicate through the Platform
• Purchase subscriptions
• Purchase and use platform tokens
• Access premium features

Advisory Navigator does not employ advisors and is not a party to any advisory, consulting, employment, board, or business relationship entered into between users.

2. ELIGIBILITY

To use the Platform, you represent and warrant that:

• You are at least eighteen (18) years of age;
• You possess legal capacity to enter into binding agreements;
• You will comply with applicable laws;
• Information you provide is accurate and complete.

If you are using the Platform on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. ACCOUNT REGISTRATION

Certain features require account registration. You agree to:

• Provide accurate information;
• Maintain current information;
• Keep login credentials secure;
• Notify us of unauthorized access;
• Accept responsibility for activity occurring under your account.

We reserve the right to suspend or terminate accounts at our discretion.

4. SUBSCRIPTIONS

The Platform may offer paid subscription plans. Subscription benefits may include:

• Premium visibility
• Enhanced search capabilities
• Messaging privileges
• Monthly token allocations
• Access to premium features

Subscription pricing, benefits, and limitations may be modified at any time.

Subscriptions automatically renew unless canceled before the applicable renewal date.

Additional billing terms are governed by the Advisory Navigator Billing Terms.

5. TOKENS AND PLATFORM CREDITS

The Platform may offer digital credits known as "Tokens." Tokens may be used for:

• Posting opportunities
• Applying to opportunities
• Profile promotion
• Enhanced searches
• Direct outreach
• Featured listings
• Other premium Platform services

Tokens:

• Are not currency;
• Are not cryptocurrency;
• Are not securities;
• Are not investment products;
• Have no cash value outside the Platform;
• Are non-transferable unless expressly permitted.

Token purchases are subject to separate Platform policies.

Except where required by law, token purchases are non-refundable.

6. ADVISOR RESPONSIBILITIES

Advisors agree to:

• Provide accurate profile information;
• Accurately represent qualifications and experience;
• Conduct themselves professionally;
• Maintain confidentiality when appropriate;
• Comply with applicable laws and regulations.

Advisors are solely responsible for evaluating opportunities and managing relationships with Organizations.

7. ORGANIZATION RESPONSIBILITIES

Organizations agree to:

• Provide accurate opportunity descriptions;
• Conduct appropriate due diligence;
• Comply with applicable laws;
• Honor commitments made to Advisors;
• Use Platform information responsibly.

Organizations are solely responsible for evaluating Advisors and making engagement decisions.

8. USER CONTENT

Users retain ownership of content they submit to the Platform, including:

• Profiles
• Resumes
• Biographies
• Opportunity listings
• Messages
• Uploaded materials

By submitting content, you grant Advisory Navigator a worldwide, royalty-free, non-exclusive license to host, display, reproduce, modify, and distribute such content solely for purposes of operating and promoting the Platform.

You represent that you possess all rights necessary to grant this license.

9. INTELLECTUAL PROPERTY

All Platform software, functionality, algorithms, trademarks, branding, content, databases, analytics, and related intellectual property are owned by Advisory Navigator or its licensors.

No ownership rights are transferred through use of the Platform. Users may not:

• Reverse engineer the Platform;
• Copy Platform code;
• Create derivative works;
• Scrape Platform content;
• Use automated collection tools without authorization.

10. ACCEPTABLE USE

Users shall not:

• Violate laws or regulations;
• Harass, threaten, or abuse others;
• Provide false information;
• Misrepresent qualifications;
• Upload malicious software;
• Circumvent fees or subscription requirements;
• Create fraudulent accounts;
• Interfere with Platform operations;
• Use the Platform for unlawful purposes.

Violation may result in suspension or termination.

11. CONFIDENTIALITY

Users may receive confidential information from:

• Other users;
• Organizations;
• Advisors;
• Advisory Navigator.

Users agree not to disclose confidential information except as authorized or required by law.

Confidentiality obligations survive termination of Platform use.

12. AI MATCHING AND RECOMMENDATIONS

The Platform may utilize automated systems, algorithms, artificial intelligence, machine learning, or similar technologies to recommend users, opportunities, or connections.

Such recommendations:

• Are informational only;
• Do not constitute endorsements;
• Do not guarantee compatibility;
• Do not guarantee outcomes.

Users remain solely responsible for evaluating opportunities and participants.

13. NO PROFESSIONAL ADVICE

Advisory Navigator does not provide:

• Legal advice;
• Financial advice;
• Tax advice;
• Investment advice;
• Governance advice;
• Employment advice.

Users should consult qualified professionals regarding specific circumstances.

14. DISCLAIMERS

We do not guarantee:

• Advisor qualifications;
• Organization quality;
• Successful matches;
• Business outcomes;
• Continuous Platform availability.

15. LIMITATION OF LIABILITY

16. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Advisory Navigator and its officers, managers, employees, affiliates, contractors, and agents from claims arising out of:

• Your use of the Platform;
• Your content;
• Your conduct;
• Violations of these Terms;
• Violations of applicable law.

17. TERMINATION

Advisory Navigator may suspend or terminate accounts at any time for:

• Violations of these Terms;
• Fraudulent conduct;
• Security concerns;
• Legal compliance reasons;
• Other legitimate business purposes.

Termination does not eliminate accrued obligations.

18. GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict-of-law principles.

19. ARBITRATION

Any dispute arising out of or relating to these Terms or the Platform shall be resolved through binding arbitration.

The arbitration shall take place in Delaware.

Users waive the right to:

• Jury trials;
• Class actions;
• Representative proceedings.

Nothing prevents either party from seeking injunctive relief where appropriate.

20. CHANGES TO TERMS

We may modify these Terms at any time.

Updated versions will be posted on the Platform with a revised effective date.

Continued use of the Platform after modifications become effective constitutes acceptance of the revised Terms.
