Subscription & Token Policy

This Subscription & Token Policy ("Policy") governs all subscriptions, token purchases, platform credits, premium services, and related transactions offered through Advisory Navigator LLC ("Advisory Navigator," "Company," "we," "our," or "us").

This Policy supplements the Advisory Navigator Terms of Service and Billing Terms. In the event of a conflict, the Terms of Service shall control.

By purchasing, receiving, or using subscriptions or Tokens, you agree to this Policy.

1. PURPOSE

Advisory Navigator operates a subscription-based software platform and digital marketplace that connects:

• Advisors
• Board candidates
• Consultants
• Subject matter experts
• Organizations
• Businesses
• Nonprofits
• Associations

The Platform may offer subscriptions, Tokens, and premium features to facilitate participation and engagement.

2. SUBSCRIPTION PLANS

Advisory Navigator may offer one or more subscription plans for Advisors, Organizations, and Enterprise customers.

Subscription plans may include:

Advisor Plans

• Free
• Professional
• Executive
• Other plans introduced by the Company

Organization Plans

• Starter
• Growth
• Enterprise
• Other plans introduced by the Company

Subscription features may vary by plan and may include:

• Monthly Token allocations
• Enhanced profile visibility
• Opportunity posting privileges
• Premium search functionality
• Messaging capabilities
• Priority support
• AI-powered recommendations
• Access to premium marketplace features

The Company reserves the right to modify subscription plans, pricing, and features at any time.

3. SUBSCRIPTION BILLING

Subscription fees are billed in advance. Subscriptions may be:

• Monthly
• Annual
• Multi-year
• Enterprise contract-based

Unless otherwise specified, subscriptions automatically renew at the end of each billing period.

Users authorize Advisory Navigator and its payment providers to charge the payment method associated with their account.

4. CANCELLATION

Users may cancel subscriptions at any time.

Unless otherwise required by law:

• Cancellation becomes effective at the end of the current billing cycle.
• Previously paid subscription fees are non-refundable.
• Subscription benefits continue through the paid term.

Deleting an account does not automatically cancel an active subscription.

5. TOKENS

The Platform may utilize digital platform credits known as "Tokens."

Tokens may be earned, purchased, allocated, granted, or otherwise distributed by Advisory Navigator.

Tokens may be used to access features such as:

• Opportunity postings
• Opportunity applications
• Featured opportunities
• Featured profiles
• Direct outreach
• Advanced searches
• Premium communications
• Marketplace enhancements
• Other premium services

Token requirements may vary by feature.

6. NATURE OF TOKENS

Tokens are digital platform credits only. Tokens:

• Are not currency;
• Are not cryptocurrency;
• Are not securities;
• Are not investment products;
• Are not stored value accounts;
• Are not bank deposits;
• Are not transferable unless expressly authorized by the Company;
• Have no cash value outside the Platform.

Users obtain only a limited license to use Tokens within the Platform.

No ownership rights are conveyed.

7. TOKEN PURCHASES

Users may purchase Tokens through the Platform. Available offerings may include:

• Individual Token packages
• Subscription-based Token allocations
• Promotional Token bundles
• Enterprise Token allocations

Token pricing is determined by Advisory Navigator and may change at any time.

Changes do not affect previously purchased Tokens.

8. INCLUDED TOKENS

Certain subscription plans may include Tokens as part of membership benefits.

Included Tokens:

• May renew monthly
• May renew annually
• May expire
• May be subject to plan-specific limitations

The Company may establish different rules for different subscription plans.

9. TOKEN EXPIRATION

Unless otherwise stated:

• Purchased Tokens expire twenty-four (24) months after purchase.
• Promotional Tokens may expire sooner.
• Complimentary Tokens may expire sooner.
• Expired Tokens are forfeited.

The Company may provide notice prior to expiration but is not obligated to do so.

10. REFUNDS

Except where required by applicable law:

Subscription fees are non-refundable. Token purchases are non-refundable.

The following are not eligible for refunds:

• Used Tokens
• Unused Tokens
• Expired Tokens
• Promotional Tokens
• Subscription fees already paid

The Company may issue refunds in its sole discretion.

11. TOKEN MISUSE

The Company may suspend, revoke, or invalidate Tokens if obtained through:

• Fraud
• Chargebacks
• Abuse
• Unauthorized transactions
• Violations of Platform policies

Users remain responsible for outstanding balances resulting from improper conduct.

12. ENTERPRISE ACCOUNTS

Enterprise customers may receive:

• Shared Token pools
• Team management functionality
• Administrative controls
• Custom pricing
• Custom billing arrangements

Enterprise-specific agreements may supersede portions of this Policy.

13. PROMOTIONAL TOKENS

The Company may issue promotional or complimentary Tokens.

Promotional Tokens:

• May not be redeemed for cash;
• May expire earlier than purchased Tokens;
• May be revoked if issued in error;
• May be subject to additional restrictions.

14. PLATFORM CHANGES

Advisory Navigator reserves the right to:

• Modify Token pricing;
• Modify Token requirements;
• Introduce new Token uses;
• Eliminate Token uses;
• Modify subscription features;
• Introduce new subscription plans.

Such changes may occur without prior notice unless otherwise required by law.

15. NO INVESTMENT PURPOSE

Tokens are intended solely to facilitate Platform functionality.

Users acknowledge that Tokens:

• Are not investments;
• Are not securities;
• Are not financial products;
• Should not be purchased for speculative purposes.

No expectation of profit is created through Token ownership or use.

16. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ADVISORY NAVIGATOR SHALL NOT BE LIABLE FOR:

• Lost Tokens;
• Expired Tokens;
• Lost opportunities;
• Business losses;
• Lost profits;
• Indirect damages;
• Incidental damages;
• Consequential damages.

Any liability shall be governed by the limitations contained in the Terms of Service.

17. TERMINATION

Upon termination of an account:

• Subscription benefits cease;
• Access to premium services may terminate;
• Tokens may be forfeited;
• Outstanding obligations remain enforceable.

The Company may preserve account records as required by law.

18. CHANGES TO THIS POLICY

Advisory Navigator may modify this Policy from time to time.

Updated versions will be posted on the Platform with a revised effective date.

Continued use of subscriptions or Tokens after changes become effective constitutes acceptance of the revised Policy.
